Terms of Service

1. Acceptance of Terms

Welcome to Ujude. By accessing, installing, or using the Ujude platform and its services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are acting on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree with any portion of these Terms, do not use the Platform.

2. Changes to Terms

Ujude may update these Terms from time to time. We will post the revised Terms on ujude.com and indicate the effective date. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, discontinue your use of the Platform.

3. Intellectual Property

All content, features, and functionality on the Platform, including but not limited to design, text, graphics, logos, icons, software, and the underlying code, are owned by Ujude or its licensors and are protected by applicable intellectual property laws. The Ujude name, logo, and other marks displayed on the Platform are the property of Ujude or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose, provided you comply with these Terms. No rights beyond this license are granted to you.

Content and listings of apps appearing on the Platform may be provided by third parties. Such content remains the property of its respective rights holders. You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices.

4. Third-Party Links and Apps Hosted on Google Play

The Platform may contain links to applications that are hosted on Google Play and presented to you through Ujude. Ujude does not host these apps directly on the Platform and does not control or warrant the apps or their content. The availability, privacy practices, and security of any third-party apps are governed by the terms of the respective app developers and by Google Play's terms of service. Ujude does not endorse any third-party apps or guarantee their accuracy, reliability, or safety. Your use of such apps is at your own risk, and you should review the developer's terms, privacy policy, and permissions before use.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, UJUDE AND ITS AFFILIATES, LICENSORS, AND PARTNERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS. UJUDE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ACCESS TO AND USE OF THE PLATFORM IS AT YOUR OWN RISK.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UJUDE, ITS AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF UJUDE FOR ALL CLAIMS UNDER THESE TERMS EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID BY YOU TO UJUDE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless Ujude, its officers, directors, employees, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Platform or your violation of these Terms, including any infringement of third-party rights or violations of applicable laws.

8. Termination

We may suspend or terminate your access to the Platform at any time for cause or for convenience, with or without notice. Upon termination, your right to use the Platform ceases, and any data you have stored on the Platform may become inaccessible. Provisions that by their nature should survive termination shall survive.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Ujude is incorporated, without regard to its conflicts of law provisions. Any disputes arising out of or relating to these Terms shall be resolved in the courts located in the city of incorporation or through applicable alternative dispute resolution mechanisms, as determined by Ujude.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be construed to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

11. No Waiver

The failure of Ujude to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Ujude in writing.

12. Entire Agreement

These Terms constitute the entire agreement between you and Ujude with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, regarding the Platform.
